A
corporation's "Articles of Incorporation" is the
main filing document, which begins the corporation's existence
under state law. Once filed, the corporation comes into existence.
Generally, most jurisdictions require Articles of incorporation
to contain, at a minimum, information about the corporation,
the Registered Agent, and the corporation's business address.
Requirements vary by state.
A
corporation is a separate legal entity existing under authority
granted by state law.
It has its own identity separate and apart from its shareholders/owners.
Under
state law, every company is required to have a registered
agent located in the state of incorporation and in all states
where the company is qualified to transact business. The
role of the registered agent is to receive legal papers (called "service
of process") and government notices on behalf of
the company
